Terms of Service

These terms are an agreement between you and NULL LLC, a Virginia limited liability company (“NULL LLC”, “we”, “us”). They cover Nullside: the Mac app, the online service it uses to transcribe and answer (the “Service”), and this website.

By creating an account, buying a plan, or using Nullside, you agree to these terms and to our Privacy Policy. If you don't agree, don't use Nullside.

You must be at least 18 years old and able to form a binding contract. If you use Nullside for a company or other organization, you confirm you're allowed to accept these terms for it, and “you” includes it.

You may not use Nullside where the law doesn't allow it, or if you're barred from it by law.

You need an account to use Nullside's built-in AI. Give accurate details, keep your sign-in secure, and tell us at hello@nullside.ai if you think someone else has used your account. You're responsible for what happens under your account. An account is for one person; don't share it or sell access to it.

Nullside listens to your calls when you ask it to, transcribes both sides, can look at your screen, and writes suggested answers with AI. It can also prepare answers before a call, write a debrief after one, and keep past calls on your Mac. What it can do depends on your plan and your Mac's permissions.

We keep improving Nullside, so features may change, be added or be removed. Some are marked as beta: they may be less reliable, and may change or end.

New accounts can try Nullside for free, without a card: about 3 minutes of a call or 3 answers, whichever comes first. It's once per Mac, doesn't include documents, and ends when used up. Trying to get more than one (for example with several accounts on one Mac) isn't allowed. We may change or end the free try at any time.

Pro costs $25 a month or $240 a year, plus any tax, as shown at checkout. It renews automatically at the end of each month or year, and the payment method you used is charged then, until you cancel.

You can cancel any time from Settings in the app, which opens Stripe's billing page. Pro then continues to the end of the period you've paid for and doesn't renew. If a renewal payment fails, Stripe tries it again for a while; if it still can't be paid, Pro ends.

We may change Pro's price. If we do, we'll tell you at least 30 days before it applies to you, and the new price starts at your next renewal after that. You can cancel before it does.

The AI that transcribes and answers costs us money each time it runs, so Pro includes a monthly allowance of use. The app shows how much of it you've used. It resets each month on your billing date, yearly plans included, and unused allowance doesn't carry over. A call that starts with allowance left can run a little past it to finish.

When the allowance runs out, transcription and answers stop until it resets, unless you buy a top-up ($8, Pro only). A top-up adds credit that's used after your allowance, carries over from month to month, and can be used while you have Pro. Top-ups have no cash value and can't be transferred.

We set allowances to cover normal use, and may change them for future billing periods. We also limit how fast requests can be made, to keep the Service working for everyone.

Purchases are sold and processed by Stripe, which acts as the merchant of record: Stripe takes your payment, works out and collects tax, sends your receipts, and handles payment questions and disputes. Stripe's own terms apply to the payment. We never see your full card details.

Payments aren't refundable, including for a partly used month or year or an unused top-up, except where the law requires a refund. Where it does (for example, cooling-off rights in some countries), Stripe or we will give it. If you think you were charged by mistake, email hello@nullside.ai.

“Your content” is what you put into Nullside and what it produces for you: call audio, transcripts, screenshots, documents, notes, preparation, questions, answers and debriefs. You keep whatever rights you have in it, and as between you and us, you own the answers Nullside writes for you.

You give us permission to process your content only as needed to run the Service for you: to transcribe and answer through our AI providers, and to protect the Service from abuse. We don't sell your content, and neither we nor our AI providers use it to train AI models. Our Privacy Policy explains where it goes and what's kept.

Much of your content, including past calls and recordings, is kept only on your Mac. You're responsible for backing it up; we can't recover it.

You confirm you have the right to use your content with Nullside.

Nullside transcribes what the other people on your call say, can look at your screen, and can record a call's audio if you turn that on. You are responsible for using it lawfully. In particular:

• Laws on recording and transcribing calls differ from place to place. Many require everyone's consent. Get the consent the law requires before you listen, transcribe or record.
• Follow the rules that apply to you: of your employer, school or exam provider, of an interview, of a meeting, and of the apps you use. Don't use Nullside where those rules forbid it.
• Respect other people's privacy and confidential information, and don't share their data unlawfully.

Nullside uses macOS's window protection to keep its windows out of screen sharing, recordings and screenshots. That works with most apps, but we don't guarantee it with every app, every version of macOS, or monitoring software.

Don't use Nullside to, or try to:

• break the law, or help someone else to;
• infringe anyone's rights, including privacy, intellectual property and publicity rights;
• harass, threaten, deceive or defraud anyone, or impersonate someone;
• create content that breaks Anthropic's Usage Policy, which covers the AI that writes Nullside's answers;
• get around its limits or the free try's, use automated means to send it requests, or resell or share access to the Service;
• disrupt, overload or get unauthorized access to the Service, or copy, decompile or reverse engineer it, except where the law lets you despite this restriction.

Nullside's answers are written by AI from what it hears and sees. They can be wrong, incomplete or out of date, and transcription can mishear. Read them critically and check anything that matters. Answers aren't professional advice (legal, medical, financial or otherwise), and you're responsible for what you say and do with them.

While you follow these terms, we give you a personal, non-exclusive, non-transferable, revocable license to install and use the Nullside app on Macs you own or control. Nullside and everything in it, other than your content, belong to NULL LLC and its licensors.

The app updates itself. Some updates may be needed to keep using the Service. If you use Nullside with your own API keys instead of an account, your use of those providers is governed by their terms and charges.

Nullside works with services from other companies: Anthropic (answers), Groq (transcription), Clerk (sign-in), Stripe (payments), Cloudflare (our servers) and Apple's macOS. They aren't part of NULL LLC, and we aren't responsible for them. If one of them is unavailable, parts of Nullside may be too.

You can stop using Nullside at any time, and delete your account in the app's Settings or by emailing hello@nullside.ai. Deleting it ends Pro straight away, without a refund for the rest of the period, and can't be undone.

We may suspend or end your access, with notice where reasonable, if you break these terms, don't pay, put the Service or others at risk, or if the law requires it. We may also stop offering Nullside; if we do, we'll give you reasonable notice and refund any prepaid Pro time you haven't used.

Sections that by their nature should continue after these terms end (such as your content, disclaimers, limits on liability, indemnity and disputes) do.

Nullside is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including of merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't promise that Nullside will be uninterrupted, error-free, accurate, or hidden from every screen-sharing or monitoring tool, or that it will meet your needs.

To the fullest extent the law allows, NULL LLC and its members, employees and suppliers won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, opportunities (such as a job, a sale or a grade) or goodwill, arising from or related to Nullside or these terms, even if told they were possible.

Our total liability for all claims related to Nullside or these terms is limited to the greater of what you paid for Nullside in the 12 months before the claim arose, or US$50.

Some places don't allow some of these limits. Where that's the case, they apply only as far as the law allows, and nothing in these terms limits rights you have that can't be limited by contract.

To the extent the law allows, you'll defend and indemnify NULL LLC against claims, losses and costs (including reasonable legal fees) arising from your content, your breach of these terms, or your breach of the law or anyone's rights, including recording or consent laws.

These terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to its conflict of laws rules. If a dispute comes up, please email hello@nullside.ai first: most problems can be solved that way.

Otherwise, disputes will be decided exclusively by the state or federal courts located in Virginia, and you and we agree to their jurisdiction. Either of us may still bring a claim in small claims court where it qualifies. If you're a consumer living outside the US, you also keep the protection of your own country's mandatory consumer laws and may bring a claim in your local courts where those laws allow.

We may update these terms. If a change is significant, we'll tell you by email or in the app at least 14 days before it takes effect, unless it's needed sooner for legal or security reasons. If you keep using Nullside after a change takes effect, you accept it. If you don't accept a change, stop using Nullside and cancel Pro.

These terms and the Privacy Policy are the whole agreement between you and us about Nullside. If any part is found unenforceable, the rest still applies. If we don't enforce a part, we haven't waived it. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. We aren't responsible for delays or failures caused by events beyond our reasonable control.
